Partner Agreement

This agreement governs your participation in the SignHR Partner Program. It is a commercial agreement between you (the partner) and SIGNATURETECH IT SOLUTIONS LLP. By applying to the program, or by continuing to participate in it, you accept these terms.

1. What the program is

You introduce businesses to SignHR. When a business you introduced subscribes, its subscription is attributed to you and you earn a share of the subscription revenue for as long as that business keeps paying for SignHR. You keep 100% of any fees you separately charge your client for your own advisory, implementation, migration or training work — we take no part of those.

2. Tiers and your rate

Every partner starts at Bronze and is active immediately. Your rate rises as your book grows, and it is decided by whichever qualifying threshold you reach first — active clients or annual recurring revenue (ARR).

Promotion to a higher tier lifts your rate across your entire existing book, not only the clients that took you there. Every client you have ever introduced starts paying at the new rate from their next invoice. We may revise tier rates prospectively as described in section 11.

3. How commission is calculated

Commission is a percentage of the net, pre-GST subtotal of your client's subscription lines only. It is not calculated on the list price, on taxes, or on one-time or non-subscription charges. Because your client's discount is applied before commission, the 10% discount and your commission do not compound.

Your rate is applied to each invoice your client pays, and it continues for the life of the subscription. This is not a one-time finder's fee: while your client keeps paying for SignHR, you keep earning.

4. Your client's discount

A client who subscribes through you receives 10% off their subscription. That discount runs for the life of the subscription. It never expires, never resets at renewal, and is not limited to the first year.

5. Attribution and the 90-day window

Attribution follows the last valid touch within a 90-day window. A valid touch is a client arriving through your referral link or code, or entering your code at signup.

An explicitly entered code always beats a cookie. If your client types your code when they sign up, they are credited to you even if a different partner's cookie was set earlier, and even if the 90-day window has lapsed since your last touch. A client can only be attributed to one partner.

6. House accounts and fair play

A company that was already an open lead in SignHR's pipeline before your first touch is a house account, and is not attributable to you. We will tell you if a company you introduce is a house account, and we will tell you before you spend material time on it. The following rules also apply:

  • One partner per deal. Attribution follows the last valid touch, and a client cannot be claimed by two partners at once.
  • No self-referrals. You may not refer your own firm, your group companies, or any entity you control, and you may not use the program to discount your own subscription.
  • Sell it honestly. Do not promise custom development, guaranteed pricing, or features that do not exist. Every claim you make should be one that can be pointed to on this site.

7. Certified badge and directory listing

The “Certified Partner” badge and any directory listing are earned by review of delivered implementations. They are not granted automatically on signup and may be withdrawn if the standards behind them are no longer met. Claiming certification before it has been granted is a reason for removal from the program.

8. Payouts

Accrued commission is held for 15 days before it becomes available. Payouts are partner-requested: you request a payout from your partner account when you want one. Payouts are made in INR only, and only once your available balance is above ₹1,000 and your PAN, GSTIN and bank details have been verified.

Tax is deducted at source at 2% under section 194H. If you have not furnished a valid PAN, TDS is deducted at 20% under section 206AA instead. GST on your commission is handled on your own invoice to SignHR, where applicable. You are responsible for your own tax filings and for the accuracy of the details you give us.

9. Refunds, reversals and chargebacks

Commission accrues on payments actually received. If a client's payment is refunded, reversed or charged back, the corresponding commission is written back as a reversal. A reversal offsets future accrual — it reduces what you earn next. It is never invoiced to you, and you are never asked to pay money back out of pocket.

10. Term and termination

This agreement continues while you participate in the program. Either side may end it at any time. You may leave the program at any time; SignHR may suspend or terminate your participation if you breach these terms, misrepresent the program, or act against the interests of SignHR or its customers.

On termination, commission already accrued and validly attributed remains payable, subject to the hold, reversal and payout rules above. Commission does not continue to accrue on activity after termination unless SignHR agrees otherwise in writing.

11. Changes to rates and this agreement

SignHR may revise tier rates and these terms prospectively on 60 days' notice. Any change to rates applies only to invoices issued after the notice period ends. It is never retroactive to revenue you have already earned or to commission already accrued.
